TERMS AND CONDITIONS OF EMPLOYEE CONTRACT

1. Remuneration

1.1 You will be paid as per the details given in the Appointment Letter. All reimbursements shall be governed by applicable company rules effective from time to time. All payments are subject to deduction of taxes, etc., as per the provisions of law.

1.2 You will also be entitled to incentives based on your performance, which shall be solely at the discretion of the Management. Management may make or change the policy for payment of incentives from time to time at its sole discretion, which shall be binding upon you.

1.3 In the Operations Team, particularly revenue generation teams, salary hikes will be based on Management discretion and may be revised in between appraisal cycles if required for retention purposes.

2. Notice Period

2.1 In case you resign from the service of the Company during the period of your contract, you will be required to give 45 working days’ notice or pay an amount proportionate to your remuneration in lieu of such notice for the period falling short of the prescribed notice period.

2.2 During your notice period, your balance leave, weekly offs, or holidays will not be adjusted against the notice period. Otherwise, you will have to pay an equivalent amount of the notice period to the Company. No leave can be availed during the notice period.

2.3 If any employee receives a written warning letter on grounds of integrity, poor performance, poor attendance, discipline, etc., he/she cannot resign until the warning period is closed. An employee will not be eligible to claim any dues from the Company if he/she is terminated on the grounds of integrity, discipline, or behavior, and such termination shall take immediate effect. Whether he/she will be eligible for any full and final settlement shall be solely at the Management’s discretion. In case an employee wishes to resign from the services of the Company, the following procedure shall be followed:

2.4 The employee must submit a resignation letter, which must be accepted by the immediate superior and then handed over to the HR Department of the Company.

2.5 The date of resignation shall be the date on which the resignation is submitted to HR.

2.6 A relieving letter will be issued at the time of settlement of accounts and issuance of the cheque after completion of all formalities required as per Company norms and the provisions of law.

2.7 The decision regarding acceptance of resignation and finalization of relieving shall be at the sole discretion of the Company Management.

2.8 HR shall issue the relieving letter and send the same along with the Final Settlement cheque to the employee, which will be a 45-day PDC (Post-Dated Cheque).

2.9 The employee shall have the option to withdraw the resignation, but only before the last working day.

2.10 If the resignation is withdrawn, HR may place the employee in a free pool and reinstate the employee, provided the resignation is withdrawn within 7 days of submission.

(i) CONVIRZONTECH ONLINE SERVICES PVT. LTD. reserves the right to pay or recover salary in lieu of the notice period. Further, the Company may, at its discretion, relieve you from service before the expiry of the notice period. However, if Management requires you to continue employment during the notice period, the employee shall do so.

(ii) In the event of termination arising out of disciplinary proceedings, no notice shall be required from the Company’s side.

(iii) In case the notice period is not served, an amount in lieu of the notice period shall be deducted from the Full and Final Settlement. Notice Pay shall comprise salary fixed components.

(iv) During the notice period, no leave can be availed.

(v) Employees absenting themselves from work without information while serving the notice period shall be issued a Termination Letter on the third day of Unapproved Leave Without Pay (ULWP). Such employees shall not be entitled to a relieving letter nor claim any dues from the Company.

2.11 Any employee who absconds or resigns on the spot shall not be entitled to any Full and Final Settlement.

3. Transfer

3.1 You may be transferred to any department or establishment of the Company in India or overseas as per the Company policy applicable at that time.

4. Service Rules

4.1 Any deviation from the terms and conditions stipulated herein shall expose you to immediate termination. You may also be liable to pay compensation if the Company considers such deviation detrimental to its business.

4.2 If any person does not complete/certify the training, absconds, or resigns during the training period, he/she shall not be eligible to receive payment for those days. A candidate must complete at least 30 working days from his/her Date of Joining (DOJ) in order to claim any dues from the Company.

4.3 Any unsanctioned absence or leave from duty before or after a weekly off or holiday shall be considered unpaid leave, including the weekly off/holiday.

4.4 The salary cycle is from the 1st to the 31st (Operations) of every month and from the 24th to the 23rd (Support) of next month. A minimum attendance of 95% is mandatory. Salary shall be put on hold if attendance falls below 95% and will be released after 7–14 days from the salary date.

4.5 If an employee is marked with 3 ULWPs (Uninformed/Unapproved Leave Without Pay) in a month, he/she may be terminated at the sole discretion of Management or may be considered absconding.

4.6 After training, all candidates shall undergo 15 days of On-the-Job Training (OJT)/Nesting. If anyone fails to meet expectations on grounds of performance, attendance, or integrity issues, he/she shall be terminated and shall be eligible for payment only for the number of days worked (excluding training and weekly offs).

If an employee absconds, resigns on the spot, or works less than 30 working days with the Company, he/she cannot claim any payment from the Company.

4.7 If an employee receives a warning or is placed under PIP (Performance Improvement Plan) due to discipline, integrity, or split ULWP issues, he/she shall not be eligible for a Tenurity Hike. Any such hike shall be granted solely at the discretion of Management.

4.8 Only upon a Manager’s proposal and Management discretion shall an employee be granted a process change.

4.9 Attendance amendments shall only be entertained after receipt of an email from the respective Reporting Manager.

4.10 If any employee fails to achieve the assigned target, he/she shall be placed under PIP (Performance Improvement Plan).

5. Sick Leave / Leaves

All employees are eligible for 18 paid leaves, comprising 12 casual leaves and 6 days of sick leave in a calendar year. Sick leave is subject to submission of proper medical documentation.

Sick Leave Entitlement

5.1 If you have joined during the year, your sick leave entitlement shall be prorated accordingly.

5.2 Sick leave cannot be clubbed with annual leave.

5.3 Excess sick leave beyond 6 days in a year shall be treated as Leave Without Pay (LWP).

5.4 Sick leave cannot be carried forward to the next calendar year and shall lapse if not utilized.

5.5 Sick leave cannot be encashed.

5.6 If you avail 2 or more consecutive days of sick leave, you must submit a doctor’s certificate to your supervisor.

6. Restraint on Activities

6.1 You shall be governed by all rules and regulations of service, including conduct and discipline rules, and all other standing instructions currently in force or adopted in the future.

6.2 You shall not take up any employment (full-time or part-time), consultancy, agency, or advisory position in addition to your job with the Company.

6.3 You shall maintain the highest standards of discipline and secrecy regarding the work of the Company. In the event of any breach of discipline or trust, your services may be terminated with immediate effect.

7. General Rules

7.1 All other standard rules of the Company, as existing now and as may be amended from time to time, shall be applicable to all employees.

8. Mobile Phone and Data Security Restrictions

8.1 No employee, irrespective of hierarchy or department, shall be permitted to carry or use a mobile phone on the Operations Floor unless specifically authorized by Management. Any exception to this restriction shall be subject to prior approval and the sole discretion of Management.

8.2 Employees found using mobile phones on the Operations Floor shall be liable for immediate termination, subject to Management approval.

8.3 Storage devices such as pen drives, CDs, hard disks, etc., are not permitted on the Operations Floor.

8.4 Employees shall not access websites that are not required for Company work.

8.5 Personal email access from Company premises is strictly prohibited.

8.6 Access to social networking websites within Company premises is strictly prohibited.

9. Secrecy Bond

9.1 You shall not divulge or pass any information, knowledge, or material that comes into your possession during your employment and relates to the Company’s business to any outsider, person, company, or agency without prior written consent of the Company.

You shall also be required to sign a Non-Disclosure Agreement (NDA) separately, and strict adherence to the NDA shall be mandatory.

9.2 The pay and emoluments payable to you shall remain confidential between you and Management. Accordingly, you shall not disclose your salary or emoluments to anyone inside or outside the organization except Government agencies or statutory authorities.

BENEFITS

B.1 You shall be entitled to holidays and working hours as applicable to your category of employment and posting location.

B.2 You are entitled to annual leave of up to 18 (12 + 6) working days in a calendar year.

However:

Paid leave can only be availed after completion of 6 months from the Date of Joining (DOJ).

Leave must be applied for through a Leave Application Form.

Approval must be obtained through the HR Department via the respective Operations Head through email.

Leave must be applied for at least 10 days in advance.

Not more than 2 consecutive days of casual leave shall be approved in a month.

Sick leave shall be approved only for 1 day in a month.

Carry forward of unused leave shall not be permitted.

B.3 You shall be eligible for perquisites, if any, applicable to your category of employment and/or based on functional requirements as determined by the Company.


RESPONSIBILITIES

R.1 In view of your position and office, you must effectively, diligently, and to the best of your ability perform all responsibilities and ensure results.

You may be required to work additional hours whenever necessary to fulfill your responsibilities.

You shall not engage in any activity that may adversely affect the reputation, image, or business of CONVIRZONTECH ONLINE SERVICES Pvt. Ltd., whether directly or indirectly.

R.2 You shall be required to undertake travel on Company work, for which travel expenses shall be reimbursed in accordance with Company policy.

R.3 CONVIRZONTECH ONLINE SERVICES Pvt. Ltd. is committed to ensuring integrity in all aspects of its functioning. You are required to comply with all Company policies, which form an integral part of your terms of employment.

These policies may be updated, modified, or replaced from time to time. The Company shall notify you of such changes, and you shall be required to comply with them.
